1. Acceptance of Terms

By accessing and using AdsRemix ("Service" or "Platform"), you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use this Service.

2. About Us

AdsRemix is owned and operated by Spare Matter Corp ("Company," "we," "our," or "us"). References to "AdsRemix" throughout these Terms refer to the platform operated by Spare Matter Corp.

3. Description of Service

AdsRemix is an AI-powered platform that helps users create, remix, and optimize advertisements for Facebook and Google Ads. Our Service includes the following features:

3.1 AI Ad Generation

Generate new ad copy, headlines, and creative suggestions for Facebook and Google Ads from keywords or descriptions you provide, powered by Google Gemini AI models.

3.2 Ad Library Search & Remixing

Search the Facebook Ad Library to discover publicly available ads from any advertiser, then use AI to remix and adapt that creative for your own campaigns.

3.3 Comprehensive Ad Creator

Build complete Facebook ad campaigns end-to-end, including primary text, headlines, descriptions, call-to-action buttons, audience targeting suggestions, and image generation prompts.

3.4 Competitor Tracking Library

Save and monitor competitor Facebook Ad Library pages over time. Our automated system periodically scrapes and snapshots tracked advertisers' active ads so you can review changes and trends.

3.5 Video Ad Generation (Beta)

Generate video ad concepts and scripts using AI. Video generation features are provided on a best-effort basis and are subject to the capabilities and availability of underlying AI video providers.

3.6 Bring Your Own API Key

Pro and eligible users may supply their own Google Gemini API key to use their personal quota for AI generation, independent of platform-provided usage limits.

4. User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when registering
• Keep your login credentials secure and not share them with others
• Notify us immediately at legal@adsremix.com of any unauthorized access
• Use the Service in compliance with all applicable laws and regulations
• Comply with the advertising policies of Facebook, Google, and any other platforms to which you publish ads

5. Subscription Tiers and Usage Limits

The Service is offered under tiered access plans. Usage limits (such as daily ad generations, tracked competitor libraries, and scrape frequency) vary by plan. Current limits are described on our pricing page and within the platform. We reserve the right to adjust tier limits with reasonable notice. Exceeding your plan's limits will restrict access to those features until your quota resets or you upgrade.

Free tier access is provided as-is without any service level guarantees. Paid plans are subject to separate payment terms.

6. Acceptable Use Policy

You agree not to use AdsRemix for any unlawful or prohibited purpose, including but not limited to:

• Creating ads that violate Facebook's Advertising Policies, Google Ads policies, or any other applicable platform policies
• Generating misleading, fraudulent, deceptive, or defamatory advertising content
• Infringing the intellectual property, privacy, or other rights of any third party
• Promoting illegal products, services, or activities
• Scraping, harvesting, or systematically collecting data from the Service beyond what is permitted by these Terms
• Attempting to reverse-engineer, decompile, or tamper with the Service or its underlying AI systems
• Using the competitor tracking features to harass, stalk, or unlawfully monitor individuals
• Circumventing or abusing usage limits or tier enforcement mechanisms
• Sharing your account or API key access with unauthorized third parties

7. AI-Generated Content

AI-generated content produced through the Service is provided to you for your use in advertising campaigns. You acknowledge that:

• AI outputs may contain inaccuracies, errors, or content unsuitable for publication — always review generated content before use
• We make no guarantees regarding the performance, effectiveness, or legal compliance of generated ads
• You are solely responsible for ensuring that any ad you publish complies with the policies of the relevant advertising platform and applicable law
• Generated content is not a substitute for professional legal, marketing, or compliance advice

Subject to your compliance with these Terms, content you generate using the Service becomes your property. You grant Spare Matter Corp a limited, non-exclusive license to use anonymized, aggregated data derived from your usage to improve our AI models and platform features.

8. Facebook Ad Library and Competitor Tracking

Our platform accesses the Facebook Ad Library, which is a publicly available dataset provided by Meta. By using the competitor tracking and ad remixing features, you agree that:

• You will use competitor ad data solely for lawful research, competitive analysis, and creative inspiration
• You will not reproduce, republish, or redistribute competitor ad creatives in ways that violate intellectual property laws or Meta's terms
• Automated scraping and snapshot features are subject to availability and may be disrupted by changes to Meta's platforms or policies
• We do not guarantee the completeness, accuracy, or timeliness of data retrieved from the Facebook Ad Library

9. User-Provided API Keys

If you provide your own Google Gemini API key to the Service, you represent that you are authorized to use that key and agree that:

• You are solely responsible for all charges incurred on your API key as a result of using the Service
• You will not provide an API key that belongs to a third party without their authorization
• We handle your API key with reasonable security measures but cannot guarantee it will never be exposed in the event of an unforeseen security incident
• You may remove your API key from the platform at any time through your account settings

10. Third-Party Services and Integrations

AdsRemix integrates with third-party services, including:

• Meta / Facebook — Ad Library access, Facebook Login, and Facebook Marketing API for ad account management
• Google — Google Sign-In authentication and Google Gemini AI models for content generation
• Firebase (Google Cloud) — Authentication, database, and hosting infrastructure

Your use of these integrations is subject to the respective terms and privacy policies of those third-party providers. Spare Matter Corp is not responsible for the practices or content of third-party services.

11. Intellectual Property

The AdsRemix platform — including its software, design, branding, original content, features, and functionality — is owned by Spare Matter Corp and is protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the platform itself without our express written permission.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. SPARE MATTER CORP DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPARE MATTER CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR COSTS OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claim arising from these Terms or your use of the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars (USD $100).

14. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (including Meta, Google, and Firebase), and other factors may cause temporary unavailability. We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice where practicable.

15. Privacy

Your privacy is important to us. Our Privacy Policy explains how Spare Matter Corp collects, uses, and protects your personal information and is incorporated into these Terms by reference.

16. Changes to Terms

Spare Matter Corp reserves the right to modify these Terms at any time. We will notify you of material changes by email or through an in-platform notice. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

17. Termination

Either party may terminate this agreement at any time. You may close your account through the account settings page. We may suspend or terminate your access for breach of these Terms. Upon termination, your right to use the Service ceases immediately. Data retention following termination is governed by our Privacy Policy.

18. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
